Platform ownership and customer content stay clearly separated.

These terms protect Motoring Excellence’s original work while preserving each tenant’s rights in its own brands, data and materials.

Platform intellectual property

Motoring Excellence owns or lawfully licenses MyMEX Cards and its original source code, object code, architecture, databases, workflows, APIs, design systems, interface components, templates, documentation, Jarvis configurations, platform analytics methods, platform branding and reusable improvements, excluding Customer Content and identified third-party material.

No implied transfer

A subscription grants access to the service; it is not a sale or assignment of MyMEX technology. Payment for configuration, onboarding, support, a template or custom development does not transfer source code or reusable platform rights unless a signed statement of work expressly identifies and assigns a specific deliverable.

Customer Content

The customer retains its rights in logos, trademarks, photographs, videos, documents, offers, staff information, customer records and other material it supplies (Customer Content). The customer grants Motoring Excellence a limited, non-exclusive licence to host, copy, process, adapt for technical display, transmit and back up Customer Content only as reasonably necessary to provide, secure and support MyMEX Cards.

Customer warranties

The customer confirms that it has the rights, permissions and lawful basis required to upload, publish and instruct processing of Customer Content. The customer must not supply content that infringes copyright, trademark, privacy, confidentiality, publicity or other rights. Motoring Excellence may restrict disputed material while a credible infringement or legal complaint is investigated.

Custom work and improvements

Platform configurations, integrations, modules, fixes, methods and improvements that are reusable across customers remain Motoring Excellence property. Customer-specific source materials remain Customer Content. If the parties intend ownership of a bespoke final deliverable to transfer, the signed statement of work must identify that deliverable, the rights assigned, any retained components and the effective date of transfer.

Feedback

A customer may provide suggestions without obligation. The customer grants Motoring Excellence a perpetual, worldwide, royalty-free right to use non-confidential feedback to improve the platform, provided Motoring Excellence does not identify the customer publicly without permission or use the customer’s confidential information.

Restrictions

Except where applicable law does not permit the restriction, no person may copy, sell, sublicense, scrape, frame, reverse engineer, decompile, bypass security, remove proprietary notices, create a competing derivative of the platform or use MyMEX materials outside the authorised subscription. Public card content may be viewed and shared through the functions intentionally provided.

Third-party material

Open-source software, payment services, fonts, mapping assets, social networks and other third-party material remain subject to their respective licences and terms. Nothing in these terms assigns third-party rights to Motoring Excellence or the customer.

Brand use

MyMEX, MyMEX Cards, Motoring Excellence and their platform logos may not be used to imply endorsement, partnership or ownership without written permission. A tenant may use its own brands in its workspace and grants the limited display licence necessary for that purpose.

Confidential technology

Non-public source code, security design, credentials, technical documentation, pricing logic and deployment information are confidential. Authorised recipients must protect them with reasonable care and use them only for the permitted business purpose. This does not restrict information that is lawfully public or independently developed without misuse.

Takedown and cooperation

A rights holder may submit a sufficiently detailed complaint through support. Motoring Excellence may request proof, notify the affected tenant, preserve relevant evidence and remove or restrict content where reasonably necessary. False or abusive infringement complaints are prohibited.

Survival

Ownership, confidentiality, accrued payment, lawful-use restrictions and provisions that by their nature should continue remain effective after access ends. The limited licence to Customer Content ends when the content is no longer reasonably needed for service delivery, backup, dispute, security or legal-retention purposes.
